Terms and Conditions of Service

The ecommerce technology platform is provided by Shopify.

2) Purpose and Scope

These Terms and Conditions of Service (the “Terms”) govern access to and use of the Site, as well as the sale of products offered by SunglassesBrands to users who browse, register or make purchases on the Site (collectively, the “Users”).
Before placing an order, Users must carefully read these Terms, the Privacy Policy, the Cookie Policy, the Return and Refund Policy, and any information pages concerning Shipping and Payments. By using the Site and/or submitting an order, the User accepts these Terms.

3) Accounts and Eligibility

Certain features may require an account to be created using accurate, current and complete information. Users are responsible for all activity carried out using their credentials and must take appropriate steps to keep those credentials confidential. The Site may be used by Users who are of legal age, or by minors with the consent of the person holding parental responsibility.

4) Product Information and Availability

The essential characteristics of each product are displayed on the Site. Although every effort is made to present them as accurately as possible, colours and visual appearance may vary depending on the device and its settings. Descriptions, images, availability and prices may be updated or changed at any time without notice. Any availability shown is for information only and is not binding until the order is confirmed.

5) Prices, Taxes, Promotions and Payments

Prices are stated in euros and, unless otherwise indicated, include VAT. Shipping costs, duties, customs charges and any additional services are shown at checkout. Offers and promotions may be subject to specific terms, which will prevail over these Terms in the event of a conflict.

Payment methods: accepted methods include cards through Shopify Payments, PayPal and Scalapay, where available. When paying with Scalapay, you receive your order immediately and pay in three instalments. You acknowledge that the instalments may be assigned to Incremento SPV S.r.l., related parties and their assignees, and you authorise that assignment.

By submitting an order, the User represents and warrants that: (i) the payment information provided is true and complete; (ii) they are authorised to use the selected payment method; and (iii) sufficient funds are available to cover the amount due.

6) Formation of the Contract

An order submitted by the User constitutes an offer to purchase. The contract is formed only when SunglassesBrands sends the User an Order Confirmation email summarising the purchase. SunglassesBrands reserves the right to reject an order, for example because a product is unavailable, information is inaccurate, fraud is suspected or payment has not been received. If an order is rejected or cancelled, any amount already charged will be refunded promptly and, in all cases, within the time limits required by law.

7) Shipping, Delivery and Transfer of Risk

Shipping times and costs are shown at checkout and/or on the Shipping page. Delivery times are estimates and are not guaranteed; they may vary for reasons outside SunglassesBrands’ control, including courier delays, public holidays, force majeure events and customs formalities.

For Consumers as defined by the Italian Consumer Code, the risk of loss or damage passes to the consumer only when the consumer takes physical possession of the goods, unless the consumer selected a carrier that was not offered by the seller (Article 63, Legislative Decree 206/2005).
Users must check that the parcel is intact at the time of delivery and immediately report any damage or irregularity both to the courier and to SunglassesBrands.

8) Right of Withdrawal (14 Days – EU)

If the User is a Consumer and delivery takes place within the European Union, they have the right to withdraw from the contract within 14 days of delivery without giving a reason, in accordance with Articles 52 et seq. of the Italian Consumer Code.

9) Commercial Returns and Refunds

Without prejudice to the statutory right of withdrawal, SunglassesBrands offers a 14-day commercial return policy under the conditions set out in the Return and Refund Policy.
Eligibility requirements, return costs, the return address (Via Ferrante Imparato 190, 80146 Naples (NA), Italy) and refund times are specified on that page and form an integral part of these Terms.

10) Statutory Guarantee of Conformity

Purchases made by Consumers are covered by the statutory guarantee of conformity under Articles 128–135-septiesdecies of the Italian Consumer Code for two years from delivery. A Consumer who identifies a lack of conformity must contact us within a reasonable time and provide proof of purchase and a description of the issue. Purchases made by business customers (B2B) are covered by the warranties provided for under the Italian Civil Code.

11) Limitation of Liability

To the fullest extent permitted by law, SunglassesBrands is not liable for indirect or consequential damage, loss of profit or loss arising from interruption of the service where such loss is not directly attributable to the seller’s wilful misconduct or gross negligence. Liability for personal injury and for breaches of mandatory legal obligations remains unaffected.

12) Use of the Site and Prohibited Conduct

Users agree to use the Site solely for lawful purposes and in accordance with these Terms. Prohibited conduct includes infringement of intellectual property rights; uploading unlawful or harmful content; scraping, phishing or spamming; introducing malware; and circumventing security measures. SunglassesBrands may suspend or close accounts in the event of a breach.

13) Intellectual Property

Trade marks, distinctive signs, text, images, layouts, graphics and all other Site content belong to SunglassesBrands and/or their respective owners and are protected by applicable law. Reproduction, alteration, distribution or any other unauthorised use is prohibited.

14) Third-party Tools, Services and Links

The Site may integrate tools and/or links to third-party websites. These resources are provided “as is” and “as available”. SunglassesBrands does not control or guarantee third-party content or services and is not liable for any loss arising from the User’s use of them. Users should read the relevant third-party terms and privacy policies before any interaction or transaction.

15) Shopify Platform – Roles and Responsibilities

The Site is technically hosted and supported by Shopify. Sales and contractual relationships are exclusively between the User and RSM RETAIL S.R.L. / SunglassesBrands. The User acknowledges that Shopify is not a party to the sales contract and is not responsible for products, transactions and/or claims relating to purchases made through the Site.

16) Personal Data Protection

Personal data is processed as described in the Privacy Policy and Cookie Policy. By using the Site, the User confirms that they have read those policies.

17) Force Majeure

SunglassesBrands will not be liable for delays or failures caused by events outside its reasonable control, including natural events, strikes, network outages, government measures and pandemics, without prejudice to its obligation to inform the User and make every reasonable effort to limit the effects.

18) Changes to These Terms

SunglassesBrands may amend these Terms at any time by publishing a new version on the Site. Material changes will be communicated as required by applicable law. Continued use of the Site after changes are published constitutes acceptance of the revised Terms.

19) Governing Law and Jurisdiction

These Terms are governed by Italian law.

• If the User is a Consumer, any dispute will be subject to the jurisdiction of the courts of the Consumer’s place of residence or domicile.

• If the User is a business customer (B2B), the courts of Naples will have exclusive jurisdiction.

20) Alternative and Online Dispute Resolution (ADR/ODR)

Consumers resident in the EU may use the European Commission’s ODR Platform for online dispute resolution: https://ec.europa.eu/consumers/odr.
This does not affect the right to bring proceedings before the competent courts.
